1. Acceptance of Terms

By accessing and using the Snap360 Client Portal ("Portal"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use the Portal. These terms apply to all users, including contractors, homeowners, project managers, and collaborators.

2. Portal Access

The Portal provides secure access to your project deliverables, including 3D scans, floor plans, CAD drawings, and other documentation created as part of Snap360's services. Access is granted on a per-project basis and is subject to the terms of your service agreement with Snap360.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify Snap360 immediately of any unauthorized use of your account. Snap360 is not liable for any loss or damage arising from your failure to protect your account credentials.

4. Intellectual Property

All 3D scans, floor plans, reports, and deliverables created by Snap360 are the intellectual property of Snap360 until full payment has been received. Upon full payment, a non-exclusive license is granted to the client for the use of deliverables related to their specific project. Redistribution, resale, or commercial reuse of Snap360 deliverables without written permission is prohibited.

5. Payment Terms

Invoices are due within the timeframe specified on each invoice. Late payments may incur a service charge of 1.5% per month on the outstanding balance. Snap360 reserves the right to suspend portal access for accounts with overdue invoices exceeding 60 days. All payments processed through the Portal are handled by Stripe and are subject to Stripe's terms of service.

6. Data & File Access

Project files and 3D scans are available through the Portal for the duration of your account. Snap360 provides lifetime portal access as part of its standard service offering, subject to the continued operation of the Portal. Snap360 will make reasonable efforts to maintain file availability but is not liable for temporary service interruptions.

7. Acceptable Use

You agree not to:

• Attempt to gain unauthorized access to other users' accounts or project data
• Use the Portal for any unlawful purpose
• Upload malicious files or attempt to compromise Portal security
• Share your login credentials with unauthorized individuals
• Scrape, crawl, or automatically extract data from the Portal

8. Limitation of Liability

Snap360 provides the Portal on an "as is" basis. While we strive for accuracy in all measurements and deliverables, Snap360 is not liable for any indirect, incidental, or consequential damages arising from the use of Portal content. Our total liability is limited to the amount paid for the specific service in question.

9. Service Modifications

Snap360 reserves the right to modify, update, or discontinue any feature of the Portal at any time. We will provide reasonable notice of any material changes that affect your access to project data.

10. Governing Law

These terms are governed by the laws of the State of New York. Any disputes arising from these terms or the use of the Portal shall be resolved in the courts of Kings County, New York.
